Warsaw, 1 February 2016, Orbico Group purchased 80% of shares in Distribev, a traditional trade and HoReCa sales and distribution company from Żywiec Group S.A. and its 100% subsidiary Distribev Holding Sp. z o.o. The majority package of shares was acquired for the price of PLN 96 mln, which will be subject to price adjustment mechanism. Following the conclusion of the sale agreement, Grupa Żywiec and Distribev Holding jointly hold the remaining 20% of shares in Distribev. The transaction was approved by UOKiK.

– Finalization of this transaction is an important step in implementation of Grupa Żywiec strategy aimed at focusing on its core business – brewing great beers and building strong brands. Distribev is a direct sales and distribution company serving traditional trade and HoReCa market with beer and spirits offer. The company started its operation in April 2015 after being carved-out from Żywiec Group. In July a conditional agreement was signed based on which Orbico Group was to buy 80% of shares in Distribev from Żywiec Group and its subsidiary Distribev Holding. After the Office of Competition and Consumer Protection (UOKIK) approval was obtained and conditions fulfilled, the transaction could be finalized.

Vienna Capital Partners acted as exclusive investment banking advisor and Allen & Overy acted as a legal advisor to Grupa Żywiec regarding signing the agreement.
