• Back in 2010, VCP advised the shareholders of Agros Nova, at that time one of the leading food and beverages businesses on the Polish market, on the sale of the company with total revenues of circa PLN 1bn.
• We attracted to the sale process a significant number of potential investors from all over the world, including global leading food producers.
• The process was designed with the aim of maximizing the competitive environment among the bidders and at the same time of minimizing burden on the side of the sellers and maintaining the highest level of confidentiality.
• In the course of the project, we established working relationships with many investors, including the final buyer – IK Investment Partners whom we subsequently supported in the attempted add-on acquisition of Rolnik and Delecta.
• In 2015, VCP was mandated as a sell-side advisor to IK Investment Partners on the sale of Agros Nova Soki (the company’s non-carbonated beverages division)
• We decided to organise the sale process as a limited auction and approached only the pre-selected strategic investors able to benefit from potential synergies.
• In a relatively short timeframe, we managed to select Polmlek as investor, negotiate the documentation and sign the deal.
• The deal was closed on 1 October 2015.
